What changed for Nixxy, Inc. today
Nixxy, Inc. has signed a binding letter of intent to become the Nasdaq-listed public-company vehicle for Tachyon9’s AI hyperscale infrastructure platform, which is supposed to combine power infrastructure, data centres, and compute capacity under one Nasdaq roof. The agreement is non-binding in the most binding way possible: it still requires definitive deals, shareholder approvals, and a host of closing conditions that have not yet materialised. The June 15 LOI is on file, but no merger agreement exists as of today.
Nixxy’s own business is far smaller: the company reported $29.1 million of revenue for the quarter ending March 31, with net income of $537,000, operating income of negative $1.2 million, and negative operating cash flow of $385,000. Total assets stood at $15.6 million against liabilities of $5.5 million, leaving shareholders’ equity of $10.1 million. The diluted share count is 26.2 million with earnings per share of $0.02-numbers that look oddly pedestrian for a company whose investor rail describes it as the Nasdaq listing partner for a gigawatt-scale infrastructure venture.
The LOI touts a Baker Hughes commitment for up to 1 GW of natural gas turbines, with the first 120 MW slated for Q4 2026, yet the March 31 balance sheet carries no line item for turbine prepayments or capex earmarks. The board’s fairness opinion is filed, but the issuer has not disclosed any definitive merger agreement, exchange ratio, or financing commitments beyond the LOI’s aspirational language. The product page, team page, and contact page all invite global infrastructure and investment enquiries, while the latest 10-Q confirms the company’s main operating cash burner remains its own working capital.
For now, the Nasdaq listing story is being sold while the company’s own cash-generating machine is running on fumes. The LOI is real, but the path from letter to closing is still a sketch on a whiteboard. (source: Nixxy LOI, https://www.sec.gov/Archives/edgar/data/1462223/000168316826004843/nixxy_ex1001.htm)
The binding LOI names Baker Hughes as the turbine supplier and states a Fairness Opinion was obtained from the Nixxy board, but it stops short of laying out definitive purchase orders, exchange mechanics, or committed financing. The 10-Q for the quarter ended March 31 shows $1,000 of R&D spend-roughly the cost of a single server CPU-while the investor materials frame Nixxy as the Nasdaq public-vehicle choice for a multi-gigawatt platform yet to be formally agreed. The ownership filing confirms 26.2 million diluted shares outstanding at $0.02 EPS, a capital structure that would leave even the most patient SPAC backer reaching for the exit clause. (source: Nixxy 10-Q, https://www.sec.gov/Archives/edgar/data/1462223/000168316826005489/xslF345X06/ownership.xml)
If the market wants a live chart, the issuer’s own cash-flow statement is the closest thing available: negative $385,000 of operating cash in the March quarter, a figure that can be eyeballed in the 10-Q without needing a trading terminal. The Nasdaq listing narrative is vivid; the issuer’s latest GAAP numbers are thin. (source: Nixxy 10-Q, period ending 2026-03-31, https://www.sec.gov/Archives/edgar/data/1462223/000168316826005489/xslF345X06/ownership.xml)
What remains unproven is the definitive agreement with Tachyon9, the financing plan for 1 GW of turbines, and any concrete capital raising that would fund the build-out. Until those documents land, the Nasdaq shell story stays in the LOI stage while the issuer’s own cash register rings up negative operating cash. Methodology
This profile is generated daily from public sources including SEC EDGAR (US-listed companies), NASDAQ Trader files, exchange listings, public macro/central-bank releases, CoinGecko crypto market files where relevant, and the TradingView global symbol catalog. Multi-model AI may assist drafting and review where configured, but sources remain the evidence rail; the chart is an Atlas static OHLC rail with a live TradingView link when verified bars are available; otherwise the page keeps the verified TradingView route as an explicit fallback.
