What changed for Valion Bio, Inc. today
Valion Bio Inc. used to sell bone-conduction earbuds; now it wants to sell a pill that protects against radiation and to run a contract development manufacturing business for other biotechs. The company completed its identity pivot in April 2025 when it officially renamed from Tivic Health Systems and filed a prospectus on 17 July 2026 to register up to 6,500,000 new shares, giving it a fresh war-chest to fund its new strategy. The filing also announces a 2-for-1 stock split, a move that usually signals a push for retail liquidity but arrives when the company’s revenue is still measured in six figures.
What Valion Bio actually does today is two things: advance Entolimod, a TLR5 agonist in clinical development for radiation injury and oncology immune support, and operate Velocity Bioworks, a wholly owned CDMO supplying biomanufacturing services to third-party clients. The CDMO arm is designed to generate independent commercial revenue and secure supply for Valion’s own pipeline, but so far the customer revenue has been modest-$146,000 in the quarter ending September 2025 and only $86,000 in the quarter ending June 2025. The glossy investor story now centres on vials and radioprotection rather than earbuds, but the income statement is still playing catch-up.
The latest 10-Q for the quarter ended 31 March 2026 shows Valion Bio burning $5 million in operating cash, with net loss attributable to parent of $6.2 million and only $7.2 million of cash and equivalents on hand. Research and development spend was $1.9 million, while capital expenditure was a minuscule $7,000. The balance sheet lists total assets of $38.2 million against liabilities of $19.7 million, leaving shareholders’ equity at $11.1 million. Inventory sits at $750,000, up from zero the prior quarter, which may reflect early manufacturing stockpiles for Entolimod or raw materials for Velocity Bioworks’ contract work. Diluted loss per share is $2.19 on 881,294 weighted average shares outstanding for the June 2025 quarter. The company’s filing index and company facts JSON on SEC EDGAR confirm the same data points across multiple documents.
If you want a chart, the source route is the company’s investor relations page at https://www.tivichealth.com/investors, which points to the SEC filings and XBRL data; the renderer will place the official company image of golden nerves alongside the narrative. The company itself does not publish a price chart, nor does any exchange source supplied here, so any attempt to draw levels would be invention rather than evidence.
What changed this week is the filing of the S-1 registration statement and DEF 14A on 17 July 2026, coupled with the earlier 8-K on 14 July 2026 announcing the board’s approval of the 2-for-1 split. The SEC submissions JSON confirms the sequence of filings, while the ownership XML shows insiders retaining a 17.9% stake. The June 2026 8-K also disclosed the April 2025 corporate reorganisation that pivoted the company from consumer wellness to biopharma and CDMO services. None of these moves changes the revenue or cash-flow trajectory shown in the filings.
What remains unproven is whether Entolimod will achieve meaningful clinical or commercial milestones, and whether Velocity Bioworks can scale contract manufacturing revenue fast enough to offset the burn. The company’s prospectus acknowledges these risks explicitly, stating that it has no product revenues from Entolimod and that its CDMO revenue is not yet material. Until either pipeline progress or third-party manufacturing revenue reaches six or seven figures per quarter, the share split looks less like momentum engineering and more like optics engineering. Evidence that would deepen the file would include Phase II or Phase III data readouts for Entolimod, a sustained quarterly CDMO revenue run-rate above $1 million, or a visible path to regulatory approval or partnership for the radiation-protection programme.

Methodology
This profile is generated daily from public sources including SEC EDGAR (US-listed companies), NASDAQ Trader files, exchange listings, public macro/central-bank releases, CoinGecko crypto market files where relevant, and the TradingView global symbol catalog. Multi-model AI may assist drafting and review where configured, but sources remain the evidence rail; the chart is an Atlas static OHLC rail with a live TradingView link when verified bars are available; otherwise the page keeps the verified TradingView route as an explicit fallback.
