What changed for SurgePays, Inc. today
SurgePays, the Nasdaq-listed holding company with subsidiaries in telecom, blockchain technology, social media marketing, and cryptocurrency, just published its 10-Q for the quarter ending 31 March 2026-and the numbers are less âredefining rural connectivityâ and more âredefining the art of the loss.â Revenue clocked in at $16.0 million, but net income came in at a loss of $12.1 million, or $0.51 per diluted share, on 23.7 million shares outstanding. The companyâs operating loss was $11.2 million, and it burned $4.6 million in operating cash, leaving just $2.0 million in the till. Assets totalled $9.5 million against liabilities of $33.4 million, with stockholdersâ equity at a neat -$23.8 million. The only thing swelling here is the red ink.
What SurgePays actually does is a bit harder to pin down than its glossy investor deck suggests. The company describes itself as a âpublicly traded holding company with subsidiaries in Telecom, Blockchain Fintech Companies, Social Media Marketing and Cryptocurrency markets,â and its core pitch is that it turns local convenience stores into points of engagement for underserved communities. Two of its product rails-Torch Wireless, its Lifeline-focused MVNO, and its Managed Marketing Services-are meant to deliver subsidised wireless service and dynamic digital signage to retailers. But the evidence shows a company selling a vision more than a verified, repeatable business. The product pages and press releases are heavy on buzzwords and light on audited metrics, and the only concrete figures tied to operations are the financials, which are unambiguously grim.
SurgePaysâ latest disclosures are a masterclass in disclosure minimalism. The 10-Q (filed 20 May 2026) confirms the $16.0 million revenue, $12.1 million net loss, and the $23.8 million negative equity. The 10-Q also shows inventory at $339,570 and a $1.4 million reduction in inventories for the year, alongside negligible capex of $18,590 in the prior fiscal year. Two 8-Ks filed on 22 June 2026-one titled âEntry into a Material Definitive Agreementâ and the other âCompletion of Acquisitionâ-contain no material details beyond boilerplate language, leaving shareholders to guess what, if anything, actually changed. Ownership filings from early June show the same 23.7 million diluted shares outstanding, with no buybacks or meaningful insider transactions disclosed.
If youâre looking for a chart or technical read, SurgePays trades on Nasdaq under the ticker SURG, but the evidence rail does not supply trading volumes, price levels, or any exchange data beyond the ticker itself. The companyâs own investor site is heavy on mission statements-âempowering local retailers,â âtransforming stores into points of engagementâ-but light on audited operating metrics. Until the next 10-Q or 10-K, the only hard numbers are the ones the company itself filed: revenue down, losses up, cash down, and liabilities up. The market can price the story, but the story itself remains unaudited.
What changed this quarter? Nothing structurally: SurgePays still sells a vision of rural and underserved connectivity via MVNO partnerships and digital signage, but the cash and equity math moved the wrong way. What remains unproven is whether the subsidiaries are cash-generative or merely cash-consuming vehicles, and whether the âmanaged marketingâ and âblockchain fintechâ subsidiaries are anything more than slideware in the annual report. The missing links are audited segment-level revenues, operating cash flow by subsidiary, and any disclosure of customer or revenue concentration that would let investors judge whether the model is scalable or merely speculative. Until then, the file is a holding company with a press-release glow and a balance sheet hangover.
What would deepen the file next? A segment-level breakdown in the 10-K showing which subsidiaries are generating cash and which are burning it; a clear description of the âmaterial definitive agreementsâ referenced in the June 8-Ks; and, ideally, a cash flow statement that doesnât rely on the kindness of future investors to keep the lights on. Until then, the story is the numbers: $16 million in, $12 million out, and a balance sheet that reads like a cautionary tale rather than a growth plan.

Methodology
This profile is generated daily from public sources including SEC EDGAR (US-listed companies), NASDAQ Trader files, exchange listings, public macro/central-bank releases, CoinGecko crypto market files where relevant, and the TradingView global symbol catalog. Multi-model AI may assist drafting and review where configured, but sources remain the evidence rail; the chart is an Atlas static OHLC rail with a live TradingView link when verified bars are available; otherwise the page keeps the verified TradingView route as an explicit fallback.
