What changed for Staar Surgical Co today
STAAR Surgical Company, the Lake Forest outfit that makes the EVO family of implantable collamer lenses, has just told investors it may sell another $150 million of new shares ‘from time to time’ without specifying the purpose-a move that reads less like capital discipline and more like a permission slip for dilution. The S-8 filed on 24 June is 261 pages of standard legalese punctuated by one line that matters: the company reserves the right to issue equity whenever it pleases. No timetable, no use-of-proceeds disclosure, just the classic ‘we’ll let you know if we feel like it’ approach to shareholder dilution.
In the same week, STAAR crowed about ‘strong preliminary net sales’ for the second quarter, calling it the highest in its history. The press release is all sunshine and upward arrows, but the 10-Q filed on 13 May shows operating cash flow of negative $21.7 million and a $4.1 million drop in inventories-hardly the picture of a business awash in cash from surging demand. The gap between the cloudburst of good news and the drizzle of cash tells you who is getting the PowerPoint and who is counting the coins.
The first-quarter results, released on 13 May, showed net sales of $93.5 million (up 119.6% year-over-year), net income of $5.2 million, and diluted EPS of $0.10 on 50.9 million shares. Assets stood at $451.1 million, liabilities at $98.8 million, and stockholders’ equity at $352.4 million, with $131.9 million in cash and $32 million in short-term investments. Capital expenditure for the quarter was a modest $443,000, while research and development ran to $9.9 million. The impairment charge of $2.8 million for internally developed software being scrapped in favour of a cloud migration sits awkwardly next to the board’s decision to lift the interim co-CEO’s base salary.
The company’s governance filings reveal Andrew’s raise-approved on 8 June by the compensation committee-just as the 10-Q was being finalised. Management also capitalised cloud-based software implementation costs for enterprise resource planning and customer relationship management systems that went live at the start of Q2 2026, a transition that has already run up a $2.8 million write-off for redundant software, a line item the glossy slide deck never mentions. The net effect is a business that can file for cash while simultaneously filing for shareholder dilution and executive raises, all under the same roof.
The SEC filings do not yet disclose second-quarter cash flow or earnings, so the ‘strong preliminary net sales’ press release is all we have on the latest quarter’s headline numbers. Until the 10-Q for the period ending 3 July 2026 drops, investors are left guessing whether the sales surge turned into cash or merely inflated receivables. The company’s own filings show inventories falling, which can signal efficiency or canny timing of revenue recognition; without the cash-flow statement, the optics remain ambiguous at best.
