What changed for Jackson Acquisition Co II today
Jackson Acquisition Co II exists in the curious place where SPAC mythology meets balance sheet reality. Officially, it’s a blank-cheque company designed to merge with or acquire an operating business within 24 months of its July 2024 IPO, using the proceeds parked in a trust account. Unofficially, its latest 10-Q for the quarter ending 31 March 2026 shows $245.2 million in total assets, $52,478 in shareholder equity, and a net loss of $168,272 on operating income of $-168,272. Net cash used in operating activities was $128,309. These are not the numbers of a business that has found its footing.
The company’s core document is its Amended and Restated Memorandum and Articles of Association, which spells out that each Class A share represents one vote-until a business combination, when the structure can shift. Exhibit 3.1 to an 8-K from late 2024 confirms the mechanics but does not explain why the shareholder equity line reads like a rounding error. The company’s Business Combination Marketing Agreement with Roth Capital Partners, dated 9 December 2024, promises a 4% cash fee on gross proceeds plus a further 4% on the trust account up to $100 million. That’s a lot of incentive for a company yet to combine with anything more substantial than a filing.
Jackson’s 10-Q shows net income of $2.0 million for the quarter ending 31 March 2026, but that turns out to be a rounding uplift from a broader operating loss. Operating income was $-168,272, operating cash flow was $-128,309, and total equity attributable to the parent stood at $52,478. The company’s cash position and equity base remain thin, offering little cushion for execution risk. The filing itself is a model of transparency, but the numbers tell a story of a platform still waiting for its business.
The company’s SEC filings include multiple Schedule 13G updates in 2026, with no material change in ownership stakes reported. These filings confirm passive investor positions but do not materially alter the company’s operational profile. Jackson’s Description of Securities, incorporated into its 10-K, explains that the Class A shares are convertible and subject to forfeiture if the company fails to consummate a business combination within its timeline. That’s a feature, not a bug, in SPAC architecture-but it doesn’t change the fact that the operating business is still unwritten.
On the product rail, the company’s 2024 agreements with its Sponsor and Roth Capital Partners are the closest things to operational artefacts, but they are compensation agreements tied to a business combination that has not yet occurred. The 10b5-1 insider trading policy adopted in February 2025 adds governance polish but does not address the thin equity base or cash burn. The company’s Articles of Association allow for share reclassification around a business combination, but the 10-Q shows no such event has transpired.
What we still don’t know is whether Jackson will find a target, whether it will pay the 4%+4% fees on gross proceeds, and whether its equity base can survive dilution if it does. The trust account mechanics are clear in the filings, but the operating reality remains a hypothesis. The company’s 10-Q ends on 31 March 2026, and the next meaningful disclosure will likely be an 8-K announcing a business combination or an extension. Until then, the platform is a promise backed by thin equity and a lot of filing trail.
The chart rail for JACS is available on TradingView via the SEC’s public filings index; the chart itself reflects the thin liquidity and limited price history typical of SPACs in the post-IPO phase. The company’s trading activity is not highlighted in the filings, which is itself notable given the absence of a visible market footprint beyond sporadic 13G filings.

Methodology
This profile is generated daily from public sources including SEC EDGAR (US-listed companies), NASDAQ Trader files, exchange listings, public macro/central-bank releases, CoinGecko crypto market files where relevant, and the TradingView global symbol catalog. Multi-model AI may assist drafting and review where configured, but sources remain the evidence rail; the chart is an Atlas static OHLC rail with a live TradingView link when verified bars are available; otherwise the page keeps the verified TradingView route as an explicit fallback.
