What changed for Hawthorn Bancshares, Inc. today
Hawthorn Bancshares, Inc. (HBI) owns all of Hawthorn Bank, a Missouri state bank offering the full array of community banking services to customers in Jefferson City, Columbia, Clinton, and Warsaw. On 14 July the company confirmed it had received all required regulatory approvals and non-objections to complete the merger with Farmers State Bank under the Reorganization Agreement, yet the filing still warns that actual results “may be materially different” from the forward-looking statements. In short: the filing trail is signed, sealed, and sitting in the inbox, but the merger is not yet a done deal.
Hawthorn Bank operates the traditional deposit-and-loan model, collecting chequing and savings accounts and writing commercial and consumer loans across central Missouri. The bank’s March 2026 10-Q shows $1.86bn of assets and $1.68bn of liabilities, leaving $175.4m of shareholders’ equity. Cash and equivalents stood at $101.9m, while operating cash flow for the quarter was $8.0m. The bank incurred $1.9m of capital spending, primarily on property, plant, and equipment-otherwise known as branches, desks, and computers-bringing the net income attributable to the parent to $5.7m and diluted EPS to $0.83. Revenue is not broken out in the 10-Q, so the company’s top-line growth remains an open question.
The merger hinges on FDIC approval under the Federal Deposit Insurance Act, a hurdle that the 424B3 filing confirms has been addressed but not yet consummated. HBI’s dividend receipts from Hawthorn Bank are explicitly tied to the subsidiary’s financial condition, cash needs, and capital requirements, which means the holding company cannot count on upstream cash until the merger closes and the combined bank stabilises. The S-4/A repeats these caveats verbatim, underscoring that the bank’s ability to upstream dividends is not a given.
