What changed for Deep Fission, Inc. today
Deep Fission, Inc. (Nasdaq: FISN) opened its first week as a Nasdaq-listed company with a glow-worm press tour: a stage-managed appearance alongside US Energy Secretary Wright at Idaho National Laboratory’s “Golden Era of Nuclear Power” event, a DOE Reactor Pilot Program selection, and a customer pipeline touted at up to 18.5 gigawatts of potential generation. The company’s press note frames the moment as proof of industrial momentum, but the filing shelf tells a different story: the reactor is not online yet, and the cash register is ringing up losses.
What Deep Fission actually sells is a plan to drop small modular pressurised-water reactors one mile underground, repurposing oil, gas, and geothermal drilling technologies. The 10-Q for the quarter ended 31 March 2026 explains that the firm expects to use industry-standard deep-borehole techniques, a sensible engineering call that also implies a long runway before the first megawatt is delivered. The reactor concept is technologically audacious; the capital burn is straightforwardly ordinary.
Filings show net loss attributable to parent of $21.3 million for the quarter, operating loss of $21.8 million , diluted loss per share of $0.39 , and diluted weighted average shares of 54.4 million . Cash and equivalents stood at $84.8 million at quarter-end, down from $80.0 million raised at $15.00 per share in February 2026. The 424B4 prospectus for that placement disclosed that the proceeds would be used for working capital and general corporate purposes; the 10-Q shows capitalised expenditures of just $53,439 in the quarter, suggesting the cash is parked rather than deployed. The DEF 14A adds that the audit committee’s charter is on the website and the AGM is virtual-easy governance if the reactor stays virtual for a while.
On 17 July 2026 the company filed an 8-K noting its Nasdaq uplist under the symbol FISN, and on 20 July it filed an S-8 shelf for up to 2.0 million additional shares, giving the board a fresh tool for future financings. The optics are clean, but the balance sheet has not yet generated a single kilowatt-hour. Until the reactor is in the ground and the kilowatts are on the grid, the gap between promise and proof remains the only thing trading with liquidity.
Retail investors can tune into the virtual AGM using a 16-digit control number mailed with proxy materials, proof that even atom-splitting ambitions need a dial-in code. The company’s website hosts the audit committee charter and governance documents, a small mercy in a sector where full disclosure often arrives after the meltdown. The filing index on SEC EDGAR lists 2026’s 10-Q, 8-Ks, S-8, DEF 14A, and 424B4, so the paper trail is intact; what it lacks is a signed power purchase agreement or a reactor site permit. SEC EDGAR index.
For now, the market story is the mismatch between the reactor-in-a-hole narrative and the cash-in-the-bank reality. The company’s customer pipeline is framed as “up to 18.5 GW,” but the filings stop short of naming a single utility counterparty or a binding commitment. The DOE pilot program participation is a policy win, not a revenue line, and the Nasdaq uplist is a regulatory milestone, not a commercial one. Until the first megawatt is contracted and delivered, the stock trades on story, not steel.
The company’s own materials stress reliable, low-carbon baseload power for utilities, industrial customers, and data centres, yet the 10-Q does not break out segment revenue, which is consistent with a pre-revenue stage. The press releases trumpet participation in DOE events and reactor pilot programs, but the SEC filings omit any quantification of future contract values or timelines. The customer pipeline release implies momentum, but the absence of PPAs or signed orders in the filings means the pipeline is a slide-deck asset for now. The SEC also confirms that the legacy Deep Fission pre-merger results are considered historical under GAAP, so any apples-to-apples comparison must account for the merger’s accounting treatment. The EFFECT document accompanying the uplist confirms the accounting treatment but does not add revenue.

Methodology
This profile is generated daily from public sources including SEC EDGAR (US-listed companies), NASDAQ Trader files, exchange listings, public macro/central-bank releases, CoinGecko crypto market files where relevant, and the TradingView global symbol catalog. Multi-model AI may assist drafting and review where configured, but sources remain the evidence rail; the chart is an Atlas static OHLC rail with a live TradingView link when verified bars are available; otherwise the page keeps the verified TradingView route as an explicit fallback.
