What changed for FG Nexus Inc. today
FG Nexus Inc. announced on 1 July 2026 that it will establish a new real-estate division and exit the digital-asset business, effectively pivoting from a capital-markets vehicle built around Ethereum accumulation to a property developer focused on affordable housing. The release frames the move as a strategic realignment, but the numbers tell a different story. Revenue for the three months to 31 March 2026 was just $232,000, while operating losses widened to $-40.2 million and diluted EPS stood at $-5.88. Cash and equivalents totalled $14.1 million against $4.9 million in liabilities, leaving little margin for a pivot that will require fresh capital, new talent, and a regulatory reorientation.
The company’s own product page still markets FG Nexus as ‘building a U.S. public company dedicated to Ethereum accumulation and on-chain yield generation,’ an image that sits awkwardly next to the 1 July press release. The tension is not lost on the markets: the diluted share count is 6.6 million, up from earlier periods, while the company’s cash burn and revenue trajectory offer no obvious bridge to profitability in either the old or new business lines. The board’s decision to form a special committee to evaluate ‘strategic alternatives including a potential business combination’ reads less like a confident pivot and more like a fire sale in the making.
Filings show assets of $95.7 million, with $2.3 million of inventory on hand at the prior quarter’s close, but no segment-level disclosure to explain whether that inventory is Ethereum mining rigs, property land-banks, or something else entirely. The 10-Q for the quarter to 31 March 2026 is the latest available primary source, and it contains no segment splits, no cash-flow bridge, and no guidance. The company’s investor-relations page currently links only to that 1 July press release and a handful of boilerplate contact pages, leaving analysts to piece together the strategic logic from first principles.
The company’s news rail confirms the pivot and the special-committee formation but offers no financial bridge between the old and new strategies. Until the next 10-Q or a more detailed prospectus is filed, the market is left guessing how the Ethereum accumulation thesis survives the pivot, how the real-estate division will be funded, and whether the $14.1 million cash pile will be enough to keep the lights on while the board shops the business.

Methodology
This profile is generated daily from public sources including SEC EDGAR (US-listed companies), NASDAQ Trader files, exchange listings, public macro/central-bank releases, CoinGecko crypto market files where relevant, and the TradingView global symbol catalog. Multi-model AI may assist drafting and review where configured, but sources remain the evidence rail; the chart is an Atlas static OHLC rail with a live TradingView link when verified bars are available; otherwise the page keeps the verified TradingView route as an explicit fallback.
