What changed for CoinShares PLC today
CoinShares PLC, the self-styled ‘leading European asset manager specialising in digital assets,’ spent 2025 haemorrhaging cash to the tune of $151.4 million in net losses while paying out a $21.5 million dividend in February 2026-a payout it could ill-afford to repeat. The company’s 20-F filing for the year ended 31 December 2025 shows equity of negative $1.4 million against assets of $60.4 million and liabilities of $61.8 million, a balance-sheet geometry that would make even the most optimistic crypto trader pause. The filing also flags that ‘the failure or negative performance of products offered by competitors may have a negative impact on similar CoinShares products irrespective of our performance,’ an unusually candid admission that the moat is thinner than the code in a hastily audited smart contract.
On the ground, CoinShares’ Capital Markets team is billed as providing ‘market-leading trading technology and support services’ to the group’s products and clients. The team’s role includes treasury management and liquidity support, yet the group’s operating cash flow for 2025 was a negative $119.6 million, suggesting either the technology isn’t leading the market or the market isn’t leading the technology. The company’s website still greets visitors with a futuristic node graphic and the tagline ‘Building the Future of Investing’-a vision that sits uneasily against a backdrop of negative equity and dwindling cash.
Filing records tell a parallel story. A Schedule 13D/A filed on 16 June 2026 discloses significant beneficial ownership changes, while multiple Schedule 13G filings in May and July show institutions edging in rather than piling in. A 424B3 prospectus dated 3 June 2026 details a dividend paid in February 2026, an event the company’s own filings acknowledge could not be repeated without material changes. The same prospectus warns that ‘Such event of default could produce a financial loss for CoinShares and in some cases for the products we manufacture and manage, ultimately impacting our clients or the client portfolios we manage’-an unusually explicit articulation of tail risk in the very document that announces a dividend.
The company’s product rail-its Crypto ETPs-are positioned as ‘physically backed, transparent, and fee-free,’ a pitch aimed at investors who want to ‘easily invest in digital assets.’ The page is slick, the language is polished, and the imagery is futuristic, but none of it answers the question of how a company with negative equity, a $151.4 million annual loss, and a $21.5 million dividend cheque can keep its lights on long enough to build anything resembling a future. The gap between platform and portfolio is now structural.

Operating cash flow was negative $119.6 million, and the company’s diluted loss per share was an eye-watering $1,442.00 on a diluted share count of 105 units-numbers that lend a certain grandeur to the phrase ‘going concern.’ The company’s own disclosures state that it designs, issues, and manages exchange-traded products, and that its Capital Markets team provides liquidity and trading support to those products and clients. What the disclosures do not state is how that liquidity and support are funded when the parent’s cash pile is shrinking faster than a bet in a memecoin flash crash.
The company’s website and product pages read like a pitch deck designed by a team that has never seen a 20-F. The ETP guide promises ‘trust and transparency’ while the group’s consolidated liabilities exceed its assets. The Capital Markets page boasts ‘breadth of experience and depth of knowledge in traditional and digital finance,’ yet the group’s net cash used in operating activities for 2025 was greater than its cash balance at year-end-a deficit that would test the credibility of even the most optimistic crypto bull. The evidence does not show a company on the rise; it shows a company in structural deficit, marketing a future it is struggling to fund today.
If the product story is the shop window, the 20-F is the stockroom: cluttered, underlit, and leaking. The company’s ETPs are designed to give investors exposure to digital assets without the hassle of custody, but the exposure the company itself is getting is to liquidity risk and solvency pressure. The filings do not contain guidance, segment data, or any clear path to positive operating cash flow. The only clear path is the one leading to the next 13G filing.
