Blackstone Digital Infrastructure Trust Inc. (BXDC) is a real estate investment trust that owns and operates digital infrastructure-think data centres, fibre networks, and the invisible plumbing that keeps the internet from collapsing into a dial-up nightmare. The trust’s latest filings, however, read less like a growth story and more like a management desks where every decision requires a permission slip from Blackstone itself. The amended bylaws, filed on 13 May 2026, stipulate that as long as the management agreement remains in effect, the consent of Blackstone is required for any increase or decrease in the number of directors. In practice, this means the trust’s board is less a group of independent thinkers and more a subcommittee of Blackstone’s Wi-Fi network.
The trust’s operating structure is further clarified by its Articles of Amendment and Restatement, also filed on 13 May 2026. The filing confirms BXDC’s status as a REIT under the Internal Revenue Code, which obliges it to distribute at least 90% of its taxable income to shareholders. The document also includes a clause about directors or officers serving at the corporation’s request-a clause that sounds suspiciously like a non-compete agreement for board seats. If Blackstone asks you to join the board, the filing implies, you’d better accept, or risk losing your access to the trust’s server room.
The trust’s financing life support comes via a revolving credit agreement signed with Citibank on 15 May 2026. The facility allows BXDC’s operating partnership to borrow at rates starting at 1% over the ABR, rising to 2% for Term Benchmark Loans. The agreement is peppered with clauses about “Subsidiaries substantially all of the assets of which consist of” certain assets-legalese that boils down to “if you own data centres, we’ll lend you money, but don’t expect us to fund your crypto mining habit.” The facility also includes a minimum net worth requirement of $2 billion for any replacement sponsor guarantor, which is less a credit line and more a test of whether Blackstone’s balance sheet can still pass muster.
What BXDC actually does beyond borrowing and management spectacle remains opaque. The filings say it engages in business as a REIT and may render “managerial, investment, advisory and/or related services” to other entities, including office space and other services. In other words, it’s a REIT that might also run a consulting arm for digital infrastructure-though the filings don’t say how much revenue that arm generates, how many customers it has, or whether it’s profitable. The trust’s management agreement also requires Blackstone’s consent for any board changes, which means the trust’s governance is as locked down as a data centre in a hurricane.
For now, BXDC’s story is told in clauses, not cash. The filings establish its legal structure, financing, and management desks puppeteering, but they don’t reveal whether the trust’s digital infrastructure is generating rent, growing, or merely collecting dust in a server rack. The revolving credit facility is a lifeline, but it’s not a business plan. Until BXDC files actual revenue, net income, or cash flow figures, its story remains a filing trail stack of legalese with a revolving door.
