What changed for AIR Global PLC today
AIR Global PLC is preparing to step onto Nasdaq as ‘AIIR’ after its merger with Cantor Equity Partners III cleared a key regulatory hurdle this week. The combined entity will retain the AIR name and move its primary listing to Nasdaq, where it expects to trade under the ticker AIIR. The corporate machinery is already in motion: an Extraordinary General Meeting set for 12 May 2026 will vote on the business combination, and the F-4 registration statement is now effective. In the meantime, AIR’s existing business-built around Al Fakher and other hookah brands-reported FY 2025 revenue of approximately $400 million, profit of about $47 million, and adjusted EBITDA of $140 million, a set of numbers that would look healthy in any sector, let alone one built on clouds of scented smoke.
AIR calls itself the ‘global hookah innovator,’ a title it backs with a ‘science program’ conducted alongside independent accredited laboratories to develop products that ‘minimize harm and maximize enjoyment.’ The latest public evidence of this effort is a peer-reviewed study claiming charcoal-free shisha devices and electronic vaping products produce significantly lower indoor-air toxicant levels than conventional waterpipes and cigarettes under controlled test conditions. The study is a polished piece of PR, but it is not an endorsement from a public-health authority, and regulators may well take a closer look once the company is under the Nasdaq spotlight.
Year-on-year figures confirm AIR’s top line grew roughly 6% from $377 million in the prior year to $400 million in FY 2025, with adjusted EBITDA of $140 million and net profit of $47 million. The company’s ‘global footprint’ rhetoric is underpinned by a recent acquisition: it snapped up NameLess, a well-known German premium hookah brand, to bolster its flavor portfolio and regional presence. AIR’s internal science shop also features heavily in its narrative, positioning the firm as a modernizer of an ancient social ritual rather than a purveyor of traditional tobacco products. Whether the market rewards that narrative once the company is listed remains to be seen.
The Nasdaq listing route is the marquee change this week. AIR’s path to Nasdaq started with a public filing of Form F-4 on 31 March 2025 and culminated in the U.S. Securities and Exchange Commission declaring the registration statement effective on 21 July 2026. Shareholders will vote on the combination at the EGM in May 2026, and if approved, the merged entity will be renamed AIR Global PLC and list as AIIR. Until then, the company remains a Dubai-headquartered multinational with operations in over 90 markets, selling flavoured tobacco products and electronic devices under brands like Al Fakher and the newly acquired NameLess. The filing trail is clear; the market’s verdict on the story is still forming.
What is still missing is granular segment-level disclosures-how much of the $400 million revenue comes from traditional tobacco versus newer electronic products, and whether the ‘harm-reduction’ narrative translates into pricing power or regulatory goodwill. AIR’s science program is presented as a differentiator, but it is not yet accompanied by independent, long-term health data, and the company has not published detailed cash-flow or capex breakdowns beyond the adjusted EBITDA and net profit figures. The next step that would materially deepen this file would be clearer segment reporting and an updated risk section in the listing prospectus, ideally with third-party verification of its harm-reduction claims.
For now, AIR is trading on the story it chooses to tell: a 21st-century take on a centuries-old pastime, backed by lab tests it commissioned and a merger that aims to turn a regional smoke shop into a Nasdaq listing. The numbers are solid; the narrative is ambitious. The market will decide which one carries more weight.

Methodology
This profile is generated daily from public sources including SEC EDGAR (US-listed companies), NASDAQ Trader files, exchange listings, public macro/central-bank releases, CoinGecko crypto market files where relevant, and the TradingView global symbol catalog. Multi-model AI may assist drafting and review where configured, but sources remain the evidence rail; the chart is an Atlas static OHLC rail with a live TradingView link when verified bars are available; otherwise the page keeps the verified TradingView route as an explicit fallback.
